Since the Value-Added Tax (VAT) Law took effect on January 1 this year, the tax treatment of complimentary goods in "buy one get one free" promotional activities has drawn considerable attention.1 According to expert interpretation, complimentary items in such promotions do not constitute gratuitous transfers because their value is already incorporated into the purchase price, and therefore do not require taxation as deemed taxable transactions.1 However, when complimentary goods are acquired independently of the purchase transaction, they are classified as gratuitous transfers of merchandise and must be treated as deemed taxable transactions subject to VAT.1
Beyond promotional contexts, internal administrative allocations of assets within a single taxpaying entity also warrant careful consideration under the new VAT framework.1 When assets remain under the ownership of the same entity and generate no external economic benefit, such internal transfers are no longer treated as deemed taxable transactions and do not incur VAT obligations.1 Additionally, head offices may consolidate the output tax and input tax of all branch operations for combined deduction before unified VAT filing and payment.1
Enterprises navigating the VAT Law should focus on three critical assessment points: determining whether a transaction qualifies as a "deemed taxable transaction," establishing whether independent taxpayer registration is required for specific entities, and identifying circumstances that permit consolidated tax filing.1
